As the powerhouse of the WhatRocks™ label, WhatRocks Inc. (“WhatRocks”, “we”, or “us”) WhatRocks has developed a proprietary technology-based ecosystem (“Service”) that includes a technical platform and a suite of tools and products described below to support the development and the management of the WhatRocks™ community on behalf and in the name of WhatRocks Foundation, the delivery of WhatRocks™-labeled marketing or advertising material to Members of the WhatRocks™ community as well as the processing of transactions such as financial rewards, donations and payments.

The WhatRocks™ community of WhatRocks Foundation gathers like-minded registered individual users, corporations (including but not limited to advertisers, publishers, and organizers of benefit events), charitable organizations (each a “Member”) around the world that leverage marketing and advertising spend to fund social and environmental change and make a collective impact at the local, national and international scale.

We endeavour, to the best of our ability, to provide our Members with a safe environment that:

  • assures individuals that they are making donations to legitimate charities that truly tackle social and environmental issues;

  • assures corporations that their marketing and advertising budgets will no directly or indirectly fund illegal, unlawful or otherwise dubious organizations; p

  • assures charities that they are not taking any money from illegal, unlawful or otherwise dubious corporations or activities;

These Community Guidelines (“Community Guidelines”) outline our acceptable use policy in connection with our Terms of Use and Privacy Policy. If you do not agree with or you are not comfortable with any aspect of these Community Guidelines, you should immediately discontinue access or use of our Service.

INTRODUCTION

 

Service

These Community Guidelines apply to WhatRocks.co, the WhatRocks™ websites, wallets, applications and platforms, and other WhatRocks™-related sites, applications, communications and services (“Service”), including off-site Service, such as our ad services, plugins, cookies, tags, widgets and other software programs, but excluding services that state that they are offered under different community guidelines.

Members and Visitors

Users of our Service (“Members”) including individuals, corporations and charities are required to register to the WhatRocks™ community in order to open their Member account with the associated wallet and to tie all their activities on the Service to this account including but not limited to credits and debits to their wallet, the creation of or participation in fundraisers, the post and view of giveback goods and services available for sale in the Service such as tickets and promo codes to local benefit events and parties (“Giveback Items”), and their engagement with personal contacts in the Service to send or respond to invitations to go to a local party or event or participate in a fundraiser. Giveback Items and data on some of our Service is viewable to non-members (“Visitors”).

The compliance with these Community Guidelines does not constitute a guarantee to join the WhatRocks™ community or to remain a member of the WhatRocks™ community on a permanent basis as WhatRocks may, in its sole discretion, refuse any membership application or cancel any membership at any time in particular in the event of a violation of these Community Guidelines.

Change

WhatRocks can modify these Community Guidelines from time to time. The “Effective Date” legend at the top of these Community Guidelines indicates when it was last revised. Any changes will become effective when we post the revised Community Guidelines on our Service.

If you object to any changes, you may close your account. You acknowledge that your continued use of our Service after we publish or send a notice about our changes to these Community Guidelines constitutes your acceptance of any new or amended terms.

DIVERSITY

In the WhatRocks™ community, you will see Members from a broad spectrum of backgrounds and a wide range of causes. This diversity is a virtue as it provides more opportunities to support social and environmental change.

But this diversity also means you may find some text, images and videos (”Content”) including and not limited to marketing or advertising supports that show the WhatRocks™ label and giveback goods and services such as tickets and promo codes to local benefit events and parties (“Giveback Items”) with which you may passionately disagree.

We fervently believe this diversity energizes the WhatRocks™ community as a force for the greater good and we enforce the Community Guidelines below in compliance with the governance established by WhatRocks Foundation to articulate the core values that bring our Members together, the code of conduct of our Members and the governance of the WhatRocks Community.

The most effective way to advance the agenda of the causes you care about is to donate and start a fundraiser to the benefit of the charities of your choice rather than asking WhatRocks to remove Content or Giveback Items you don’t like.

This means we will not automatically and unconditionally onboard any corporation or any charity and we will not automatically and unconditionally censor any Content or Item that does not violate these Community Guidelines or our Terms of Use, even if it shocks or offends some Members.

NO ENDORSEMENT

By no means does the presence of the WhatRocks™ label on any marketing or advertising material imply that WhatRocks or WhatRocks Foundation implicitly or explicitly endorses, approves, guarantees, certifies or vouches for :

  • the accuracy of the claim asserted in such marketing or advertising material;

  • the products or services promoted in such marketing or advertising material; or

  • the entities that use the WhatRocks™ label on such marketing or advertising material.

 We do encourage you to use the flagging feature to report any Content or Item you may see on the Service that you think violates these Community Guidelines for review by our staff. 

Violations of these Community Guidelines may give rise to actions up to and including the cancellation of the WhatRocks™ community membership and the permanent closedown of the related WhatRocks™ accounts.


OUR VALUES

 

As a Member of the WhatRocks™ community, you recognize, acknowledge and share the following core values as the cement that binds us together for the greater good of humankind, society, and the environment:

  • Respect of human rights and of human dignity;

  • Fight against human trafficking and sex trafficking;

  • Equal rights to justice, health, education, employment and housing for all;

  • Inclusive society regardless of ethnicity, nationality, political or union affiliation, religious beliefs, age, gender identity, sexual orientation, illness or diseases, physical or mental challenges, veteran status;

  • Right over one’s own body;

  • Peace, dialog and understanding between people and cultures;

  • Mutual respect and physical and psychological non-violence;

  • Protection of the environment and biodiversity;

  • Fight against animal cruelty

  • Fight against climate change;

More specifically, Members are not allowed to use the WhatRocks™ label or to use the Service in order to raise donations, or sell Giveback Items in any way related to the support of:

  • Any form of discrimination, exclusion or deprivation of rights on the bias of ethnicity, nationality, national origin, political or union affiliation, religious beliefs, age, gender identity, sexual orientation, illness or diseases, physical or mental challenges, veteran status;

  • Any form of extremism and radicalism, hate speech or call to physical or psychological violence and abuse against any individual or group of individuals;

  • Any form of encouragement or support to death penalty;

  • Guns, firearms, ammunition, explosives, knives positioned as weapons, or other weaponry or accessories;

Because there’s no planet B, we have to learn to live in harmony and peace with each other and with nature on the planet Earth we share. This is not a dream, but a necessity for all of us.


GENERAL GUIDELINES

 

Without limiting the foregoing, you agree:

A. Not to use the Service including but not limited to the WhatRocks™ label with the implicit or explicit purpose of or involving directly or indirectly and in any way:

  1. the violation of any law, regulation, industry requirement, or third-party guidelines or agreements by which you are bound;

  2. any political, trade union, religious organizations;

  3. Content or Item that is fraudulent, misleading, misrepresenting, inaccurate, dishonest, that may harm the well-being, the safety or the trust of our Members, or that encourages turning an individual, a group of individuals, a place or an organization into targets of harassment or physical or psychological violence by promoting fear, hate or prejudice;

  4. drugs, narcotics, steroids, controlled substances, pharmaceuticals or similar products or therapies that are either illegal, prohibited, or enjoined by an applicable regulatory body; legal substances that provide the same effect as an illegal drug; or other products, medical practices, or any related equipment or paraphernalia that have been found by an applicable regulatory body to cause consumer harm;

  5. guns, ammunition, firearms, explosives, knives positioned as weapons, or other weaponry or accessories;

  6. junk mail, spam, snowball systems, chain letters, pyramid schemes, “get rich quick schemes” (i.e., Investment opportunities or other services that promise high rewards), debt collection or cryptocurrencies;

  7. Content that we deem, in our sole discretion, to be in support, encouragement, defense, apology or glorification of hate, violence, harassment, bullying, discrimination, terrorism, or intolerance of any kind relating to ethnicity, nationality, religious affiliation, age, gender identity, sexual orientation, illness or diseases, physical or mental challenges, veteran status;

  8. Content that we deem, in our sole discretion, to be in support, encouragement, defense, apology or glorification of alleged crimes associated with hate, violence, harassment, bullying, discrimination, terrorism, or intolerance of any kind relating to ethnicity, nationality, religious affiliation, age, gender identity, sexual orientation, illness or diseases, physical or mental challenges, veteran status or financial crimes or crimes of deception;

  9.  activities with, in, or involving countries, regions, governments, persons, or entities that are subject to U.S., Canadian, EU, Swiss and other economic sanctions under applicable law, unless such activities are expressly authorized by the appropriate governmental authority;

  10. funding a ransom, human trafficking or exploitation, vigilantism, bribes or bounty;

  11. offensive, graphic, perverse, sensitive, pornographic or child pornographic Content;

  12. the sale of Giveback Items before the seller has full control or possession of the Item;

  13. the receipt or grant of cash advances or lines of credit to yourself or to another person for purposes other than those purposes clearly stated in the Content;

  14. publication or removal of Content or Giveback Items, where the primary purpose of posting derogatory or demeaning Content or Item is to cause or raise concerns of reputational harm;

  15. sale or resale of a service without added benefit to the buyer; resale of government offerings without authorization or added value;

  16. aggregation of funds owed to third parties, factoring, or other activities intended to obfuscate the origin of funds;

  17. counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder;

  18.  Content or Giveback Items that directly infringe or facilitate infringement upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of any third party;

  19. unauthorized sale or resale of brand name or designer products or services;

  20. sale of goods or services that are illegally imported or exported;

  21. collecting or providing funds for any purpose other than as described in charity profile, the description of a fundraiser or of an Item;

  22.  any other activity that WhatRocks may deem in its sole discretion to be in support of individuals and/or entities associated with alleged financial crimes including but not limited to corruption, bribery, tax evasion, fraud, and activities of a similar nature; or

  23. any other activity that WhatRocks may deem in its sole discretion to be unacceptable.

B. Not to use the Service to transmit or otherwise upload or post any Content or Item that:

  1. infringes any intellectual property or other proprietary rights of any party;

  2. you do not have a right to upload under any law or under contractual or fiduciary relationships;

  3. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

  4. poses or creates a privacy or security risk to any person;

  5. constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation; or

  6. in the sole judgment of WhatRocks, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose WhatRocks or its Members to any harm or liability of any type;

C. Not to interfere with or disrupt websites, applications, servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

D. Not to harvest, collect or publish personally identifiable information of others;

E. Not to raise funds for a minor without the express permission of the minor’s guardian unless the funds are transferred into a trust account for the sole benefit of the minor;

F. Not to use the Service on behalf of a third party or post any personal data or other information about a third party, without the express consent of that third party;

G. Not to use another Member's account or URL without permission, impersonate any person, corporation, charity or entity, falsely state or otherwise misrepresent your affiliation with a person, corporation, charity or entity, misrepresent a corporation, charity or entity through the Service, or post Content or Giveback Items in any inappropriate category or areas on the Service;

H. Not create any liability for WhatRocks or cause us to lose (in whole or in part) the services of our Internet Service Provider(s), web hosting company or any other vendors or suppliers;

I. Not to engage in any conduct that, in WhatRocks’ sole judgment and discretion, restricts or inhibits any other Member from using or enjoying the Service;

J. Not to interfere with or disrupt any websites, applications, servers or networks used to provide the Service or their respective features, or disobey any requirements of the networks WhatRocks uses to provide the Service;

K. Not to gain unauthorized access to the Service, or any account, computer system, or network connected to this Service, by any unauthorized or illegal means;

L. Not to obtain or attempt to obtain any materials or information not intentionally made available through the Service;

M. Not to use the Service to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising, except that using the Service for fundraising activities in accordance with these Terms is expressly permitted;

N. Not to, on the Service, engage in advertising or commercial solicitation of any product or service without WhatRocks’ written consent, except that using the Service for fundraising activities in accordance with these Community Guidelines is expressly permitted;

O. Transmit more request messages through the Service in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser;

P. Undertake any activity or engage in any conduct that is inconsistent with the business or purpose of the Service; or

Q. Attempt to undertake indirectly any of the foregoing;


SPECIFIC GUIDELINES

 

FOR CORPORATIONS

Without limiting the foregoing, as a corporation, you agree to comply with the following policy and governance when using the Service as well as when using the WhatRocks™ label:

A. Your corporation must comply with the KYC (“Know Your Customer”) and AML (“Anti-Money Laundering”) rules and regulations from the competent financial market authorities when you open your corporation’s WhatRocks™ account to join the WhatRocks™ community:

  1. when opening the WhatRocks™ account of your corporation, you must provide evidence of the legal identity of your corporation to prove you are not impersonating or stealing the corporate identity of any other entity;

  2.  you must be able to prove, at any time and upon request from the competent authorities, the legal origin of the money you may use to buy Rocks™;

B. Your corporation must comply with these Community guidelines;

C. Your corporation must comply with the applicable rules and regulations on prohibited advertising as determined by the local regulatory body where the marketing and advertising material is made available to the public including but not limited to:

  1. advertising for counterfeit goods, tobacco, illegal products or services;

  2. advertising that infringes or facilitates infringement any intellectual property or other proprietary rights of any party upon the trademark, patent, copyright, trade secrets, or proprietary or privacy rights of such party;

  3. advertising that targets children under the legal age of the jurisdiction where the advertising runs;

D. Your corporation must comply with the advertising restrictions as determined by WhatRocks Foundation to prohibit the use of the Service as well as the use of the WhatRocks™ label for marketing and advertising material involving directly or indirectly and in any way:

  1. politics;

  2. trade union;

  3. religion;

  4. tobacco;

  5. Pornography and other obscene materials (including literature, imagery and other media); sites offering any sexually-related services such as prostitution, escorts, pay-per view, adult live chat features;

  6. online gambling (to the exclusion of lotteries and scratch games run by a state or a government, and to the exclusion of sports betting and online fantasy sports site)

  7. guns, firearms, ammunition, explosives, knives positioned as weapons, or other weaponry or accessories;

  8. dangerous products or services;

  9. payday loans, short-term financial services, paycheck advancement services or bail bonds;

  10. junk mail, snowball systems, chain letters, pyramid schemes, “get rich quick schemes” (i.e., Investment opportunities or other services that promise high rewards), network marketing and referral marketing programs, debt collection or cryptocurrencies;

  11. derogatory, demeaning, discriminatory, culturally or ethnically divisive, hateful, profane, vulgar, graphic, sexually suggestive or violent content;

  12. and more generally fraudulent, misleading, misrepresenting, inaccurate, dishonest Content that may harm the well-being, the safety or the trust of our Members, or that encourages turning an individual, a group of individuals, a place or an organization into targets of harassment or physical or psychological violence by promoting fear, hate or prejudice as well as Content in direct or indirect violation to the Community Guidelines without limiting the foregoing.

Please note that WhatRocks may determine that a marketing or advertising material that was previously acceptable may no longer appropriate as we update our policies to reflect new laws or clarify our position.

The compliance with these Community Guidelines does not constitute a guarantee for applying corporations to join the WhatRocks™ community as WhatRocks may, in its sole discretion, refuse any application or cancel any membership at any time in accordance with the Terms of Use in particular in the event of a violation of these Community Guidelines.

FOR CHARITIES

Without limiting the foregoing, as a charity, you agree to comply with the following policy and governance when using the Service including the WhatRocks™ label:

A. Your charity must have received a valid charitable status from your local tax authorities;

B. Your charity must comply with the KYC (“Know Your Customer”) and AML (“Anti-Money Laundering”) rules and regulations from the financial market authorities when you open your charity’s WhatRocks™ account to join the WhatRocks™ community:

  1. when opening the WhatRocks™ account of your charity, you must provide evidence of the legal identity of your charity to prove you are not impersonating or stealing the corporate identity of any other charity;

  2. you must be able to prove at any time the legal use of the money you have received from the sale of your Rocks™;

C. Your charity must have no connections or ties in any shape or form (however remotely) with any governmental, political, trade union or religious organizations;

D. Your charity must be endorsed by at least 3 active charity members of the WhatRocks™ community. WhatRocks Foundation may use a wild card at any time and in its sole discretion to welcome select charities that comply with these Community Guidelines;

Please note that WhatRocks does not vet the applications of charities to the WhatRocks™ community and does not carry out any background checks of the applying charities at the time of the opening of their WhatRocks™ account or after their WhatRocks™ account is opened.

The compliance with these Community Guidelines does not constitute a guarantee for applying charities to join the WhatRocks™ community as WhatRocks may, in its sole discretion, refuse any application or cancel any membership at any time in accordance with the Terms of Use in particular in the event of a violation of these Community Guidelines.

FOR INDIVIDUAL USERS

Without limiting the foregoing,

Do’s

First, here are a few things we love to see you do in the Service:

A. Donate your Rocks™ to the charities of your choice from your WhatRocks™ wallet to support the causes you care about. Participating brands empower you financially so you can fund the social and environmental change you want to see. So, take action!

B. Mobilize your friends, family, and community by starting a fundraiser to raise Rock™ donations for the charity you support. It’s all the easier to get them onboard than you are not asking them to donate their hard-earned money: you are asking them to use the money brands give them specifically to make donations! Use the features on the Service to show your cause to others through social media;

C. Update your supporters with developments. Keep them posted on the highs and lows of your fundraiser and suggest ways they can take further action online and offline to stay involved. Your supporters are on a journey to success with you, so take them along for the ride;

D. Purchase Giveback Items from your WhatRocks™ wallet to do good and make an impact even when you’re having fun! As you may not have any particular cause or charity close to you heart, feel free to redeem your Rocks™ to buy tickets or promo codes to local benefit events or parties to support the charity selected by the event organizer.

Don’ts

Now, here are the things we don’t like to see on the Service, which may force us to remove Content, restrict and sometimes terminate user accounts. Just so you know, “Content” refers to the text, images and videos in profile pages, posts of events, fundraisers, usernames, and anything else you contribute to the Service.

A. No hate speech – We’re fans of free speech, but we do not allow any hate speech. Hate speech is typically the advocacy of beliefs or practices that attack or malign an individual or a group of individuals on the bias of characteristics such as their ethnicity, nationality, political or union affiliation, religious beliefs, age, gender identity, sexual orientation, illness or diseases, physical or mental challenges, veteran status;

B. No violence – Ideas are powerful and can be forceful and peaceful catalysts for change. We do not allow content that directly supports, incites, encourages, defends or glorifies violence against anyone.

C. Don’t impersonate others – the Service is designed to raise donations to support legitimate charitable organizations, supporting real issues. You need to use your username and password to open a WhatRocks™ account, make donations, start fundraisers, or post events and we do not allow multiple accounts. Do not make donations or start fundraisers for other people, use anyone else’s email address, or impersonate people, including public figures or organizations.

D. Don’t violate others’ privacy – Most Content on the Service is public, so respect the privacy of anyone else you mention. Do not post any private information, like private email addresses, identification documents, credit card numbers, home addresses, private telephone numbers, or photographs or videos of people in private settings posted without their consent.

E. Don’t bully – You can be influential and respectful at the same time. When starting a fundraiser, focus on people’s interest in your cause. Please note that we do not tolerate abuse, stalking, threats, trolling, or any form of bullying.

F. Don’t be unnecessarily graphic – Emotionally powerful Content can make or break a benefit event or a fundraiser. Graphic Content may be used to condemn behaviour or show the seriousness of an issue, however give other users a warning about such Content, where possible. Do not post gratuitously violent, sexually explicit, or needlessly upsetting Content as your event or fundraiser may be removed at any time without prior notice if it is in violation of the Community Guidelines.

G. Don’t cause harm to children – Do not use the Service to post Content that violates laws on child protection, child pornography, or sexual exploitation. We want to protect children, which is one of the reasons why you have to be 13 years or older to use the Service (16 years or older in Europe).

H. Don’t spam – The Service is for issues of public interest. It’s OK to have a commercial interest in your event’s or fundraiser’s success, but you shouldn’t use the Service to directly sell products, send bulk, unsolicited communications, or for any other spam-like behaviour.

I. Don’t break the law – You can use the Service to raise awareness about and donations for the social and environmental change you want to see, but this isn’t a platform for illegal activity. Make sure that your use of the Service doesn’t violate applicable law, including laws protecting the rights of other people.

The compliance with these Community Guidelines does not constitute a guarantee for individual users to join the WhatRocks™ community as WhatRocks may, in its sole discretion, refuse any application or cancel any membership at any time in accordance with the Terms of Use in particular in the event of a violation of these Community Guidelines.


GUIDELINES REGARDING THE TRADING OF ROCKS™

 

Only the corporations and charities that are registered members of the WhatRocks™ community may trade Rocks™ on the blockchain private marketplace that only they and WhatRocks are authorized to access. Users may only receive Rocks™ from corporations and use them to make direct donations to the charities or fundraisers of their choice or to buy Giveback Items. In particular, users may not resell, exchange or ask for the payment of their Rocks™.

As corporations need Rocks™ to reward users financially when they engage on with their WhatRocks™-labeled marketing or advertising material, they may place a buy order for the number of Rocks™ they need on the private marketplace that automatically searches for one or several matching sell orders for Rocks™ placed by charities.

If one or several such sell orders match the corporation’s buy order, the private marketplace automatically credits the corporation’s account with Rocks™ and credits the selling charities with the corresponding amount of money.

In the event the charities’ sell orders for Rocks™ are insufficient to cover the buying needs of the corporation, the private marketplace is configured so that the charities’ sell order are processed in priority and then WhatRocks may sell to the corporation the additional number of Rocks™ necessary to complete the corporation’s buy order.
